Terms of Use - smapexo

1. Agreement to Terms

By ordering any custom logo design or animation services from smapexo, you agree to comply with and be bound by these Terms of Use. Please read these terms carefully before submitting your design brief.

2. Project Brief & Delivery

Clients are responsible for providing clear design instructions, style descriptions, and vector source files (if animating existing logos). Standard delivery timeline is 3-5 business days from brief receipt. Timelines may vary based on response speed during revision loops.

3. Client Materials Warranty

You warrant that any assets, text, fonts, logos, templates, or media you upload or provide to smapexo for inclusion in the designs are owned by you or that you possess all necessary rights and licenses to use them. You agree to fully indemnify and hold smapexo harmless from and against any third-party intellectual property infringement claims arising out of your provided materials.

4. Ownership & Intellectual Property Rights

We believe in client control over brand assets. Therefore:

Full Ownership: Upon final project payment, smapexo transfers all intellectual property ownership and commercial copyrights of the final chosen logo/animation design to you.
Usage Freedom: You are free to register, trademark, modify, and distribute the logo/animation worldwide across any platform.
Portfolio Right: Unless explicitly requested otherwise in writing, smapexo retains a non-exclusive license to display the final work in our design showreel and website portfolio.

5. Revisions & Versions

Revisions are edits to selected design concepts and are capped according to your chosen plan: Lite/Basic (1 version), Plus/Boost/Core (3 versions), Business Starter/Core (6 versions), Business Plus (8 versions), Business Pro (10 versions), and Business Max (Unlimited). Additional versions, concepts, or complete conceptual redirections requested outside the initial brief are subject to add-on fees.

6. Prohibited Conduct

You agree not to use our services to create designs that depict illegal activities, express hate speech, promote violence, or violate third-party rights. We reserve the right to decline any service order or brief that we deem offensive, inappropriate, or illegal.

7. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall smapexo, its owners, or its contractors be liable for any direct, indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or related to the services. In all circumstances, smapexo's total liability under these Terms of Use is limited to the exact amount paid by the client for the specific order under dispute.

8. Governing Law

These terms shall be governed and construed in accordance with standard commercial practices. Any disputes arising from design orders will be handled amicably between smapexo and the client prior to pursuing legal remedies.
